1. Acceptance of Terms

Welcome to TSeller ("TSeller," "we," "us," or "our"). By downloading, installing, accessing, or using the TSeller iOS application, Android application, and web platform (collectively, the "App" or "Services"), you ("you," "your," or the "User") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not access or use TSeller.

These Terms form a legally binding agreement between you and TSeller. Please read them carefully.

2. Description of the Service

2.1 Service Overview

TSeller is an application designed for sellers on the Takealot marketplace, available on iOS, Android, and web platforms. The App provides real-time analytics, inventory management, automated repricing, and other features to help you manage your Takealot store ("Services").

2.2 Not Affiliated with Takealot

TSeller is an independent tool and is not affiliated with, endorsed by, or sponsored by Takealot. All references to Takealot are for identification purposes only.

2.3 Platform Compliance

iOS (Apple): TSeller is distributed via the Apple App Store and complies with Apple's guidelines, including those for protecting user privacy.

Android (Google): TSeller is distributed via the Google Play Store and complies with Google Play Developer Policies, including those for user privacy and data protection.

Web Platform: TSeller is accessible via www.tseller.com and complies with applicable web privacy and data protection regulations.

3. Eligibility

By using TSeller, you represent and warrant that you are at least 18 years old or the age of majority in your jurisdiction. You further represent that you have the legal capacity and authority to enter into a binding agreement and that you will comply with these Terms and all applicable local, state, national, and international laws, rules, and regulations.

4. Account Registration & Security

4.1 Account Creation

To use TSeller, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to keep this information updated. You are responsible for maintaining the confidentiality of your login credentials and for any activity that occurs under your account. If you suspect unauthorized use, please notify us immediately at support@tseller.co.za

4.2 Takealot API Key

You may be required to input your Takealot API key to integrate your Takealot seller account with TSeller. You are solely responsible for keeping your API key secure and confidential. TSeller will not be held liable for unauthorized access to your account due to compromised credentials.

5. Subscription & Payment

5.1 Subscription Model

TSeller may offer subscription-based access to certain features. You agree to pay any applicable subscription fees at the rates in effect when the charges are incurred. We may offer a free trial period. If you do not cancel before the trial ends, the subscription fee will be charged to your account (Apple App Store, Google Play Store, or web platform, as applicable).

5.2 Billing & Renewal

Apple (iOS): Subscription fees are billed through Apple's in-app purchase system. Subscriptions automatically renew unless you turn off auto-renew in your Apple account settings at least 24 hours before the current subscription period ends.

Google (Android): Subscription fees are billed through Google Play's in-app purchase system. Subscriptions automatically renew unless you turn off auto-renew in your Google Play account settings at least 24 hours before the current subscription period ends.

Web Platform: Subscription fees are billed through our secure payment processor. Subscriptions automatically renew unless you cancel through your account settings at least 24 hours before the current subscription period ends.

5.3 Refunds

Apple: All payments are handled by Apple. Any refund requests are subject to Apple's App Store policies.

Google: All payments are handled by Google. Any refund requests are subject to Google Play Store refund policies.

Web: Refund requests for web platform subscriptions are subject to our refund policy and should be directed to support@tseller.co.za

6. License & Intellectual Property

6.1 Limited License

Subject to these Terms, TSeller grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on any compatible device that you own or control, solely for your personal or internal business purposes.

6.2 Intellectual Property Rights

TSeller and its licensors retain all right, title, and interest in and to the App, including any software, logos, trademarks, service marks, text, graphics, images, and content. Any data you input into TSeller, including but not limited to inventory details, store information, or other materials, remains your property. You grant TSeller a limited license to use this data to provide the Services.

7. User Conduct & Restrictions

By using TSeller, you agree not to use the App for any illegal or unauthorized purpose. You may not access or attempt to access other users' accounts without authorization, modify, reverse engineer, decompile, or disassemble any aspect of the App. You further agree not to interfere with or disrupt the App, servers, or networks connected to the App, and you will not upload or transmit any viruses, malware, or harmful code.

8. Privacy & Data Protection

8.1 Privacy Policy

Our Privacy Policy explains how we collect, use, and protect your personal information. By using TSeller, you consent to the collection and use of your data as outlined in our Privacy Policy. TSeller adheres to Apple's "Protecting the User's Privacy" guidelines for iOS and Google Play Developer Policies regarding user privacy for Android. We only request permissions necessary to provide our Services, and we handle your data with care.

9. Third-Party Services & Links

9.1 Takealot Integration

TSeller integrates with the Takealot Seller API to provide real-time data. You acknowledge that we are not responsible for Takealot's services, and any interactions with Takealot are governed by their terms. TSeller may contain links to third-party websites or resources. We do not endorse and are not responsible for the availability, accuracy, or content of these external sites.

10. Disclaimer of Warranties

TSeller is provided on an "as is" and "as available" basis. We make no warranties, express or implied, about the reliability or accuracy of the App. We do not guarantee that TSeller will be error-free, uninterrupted, or free of harmful components, or that it will meet your specific requirements. While TSeller aims to comply fully with Apple's and Google's guidelines, listing in the Apple App Store or Google Play Store does not constitute an endorsement or warranty by Apple or Google.

11. Limitation of Liability

To the fullest extent permitted by law, TSeller shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. In no event shall TSeller's total liability exceed the amount you paid for TSeller in the past 12 months.

12. Indemnification

You agree to defend, indemnify, and hold TSeller, its affiliates, and their respective officers, directors, employees, and agents harmless from any claims, damages, losses, liabilities, and expenses arising out of your use or misuse of the App, violation of these Terms, or violation of any applicable law or regulation.

13. Termination

13.1 Termination by You

You may terminate your account or subscription at any time by following the instructions within the App Store, Google Play Store, or web platform settings, or by contacting us at support@tseller.co.za

13.2 Termination by Us

We reserve the right to suspend or terminate your account or access to TSeller if we believe you have violated these Terms or engaged in unlawful conduct. Upon termination, your license to use TSeller will immediately cease, and any data associated with your account may be deleted or made inaccessible.

14. Modifications to the Terms

We may update these Terms at our discretion. When we do, we will revise the "Last Updated" date at the top. If the changes significantly affect your rights, we will notify you via email or in-app notifications. Your continued use of TSeller after the changes become effective signifies your acceptance of the updated Terms.

15. Governing Law & Dispute Resolution

These Terms and any dispute arising out of or related to them will be governed by the laws of South Africa, without regard to its conflict of law principles. Any claims shall be brought exclusively in the courts located in South Africa, and you consent to personal jurisdiction there.

16. Miscellaneous

Entire Agreement: These Terms constitute the entire agreement between you and TSeller regarding your use of the App.

Severability: If any provision is deemed invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

No Waiver: Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

Assignment: You may not assign or transfer these Terms without our prior written consent.

18. Apple-Required Provisions

Acknowledgement: You acknowledge that these Terms are between you and TSeller only, not with Apple. TSeller, not Apple, is solely responsible for the App and its content.

Scope of License: The license granted is limited to a non-transferable license to use the App on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, including via Family Sharing.

Maintenance and Support: TSeller is solely responsible for providing maintenance and support for the App. Apple has no obligation to furnish any maintenance or support services.

Warranty: TSeller is solely responsible for any product warranties. In the event of any failure to conform to a warranty, you may notify Apple, and Apple will refund the purchase price for the App. To the maximum extent permitted by law, Apple will have no other warranty obligation.

Product Claims: TSeller, not Apple, is responsible for addressing any claims relating to the App or your use of it, including product liability claims, regulatory compliance failures, and consumer protection or privacy legislation claims.

Intellectual Property Rights: In the event of any third-party claim that the App infringes on intellectual property rights, TSeller, not Apple, will be solely responsible for investigation, defense, settlement, and discharge of such claims.

Legal Compliance: You represent and warrant that (i) you are not located in a country subject to a U.S. Government embargo, or designated as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

Third Party Terms: You must comply with applicable third-party terms when using the App.

Third Party Beneficiary: You acknowledge and agree that Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple will have the right to enforce these Terms against you.

19. Google-Required Provisions

Acknowledgment: You acknowledge that these Terms are between you and TSeller only, not with Google. TSeller, not Google, is solely responsible for the App and its content.

Scope of License: The license granted is limited to a non-transferable license to use the App on any compatible Android device that you own or control, as permitted by Google Play's Terms of Service.

Maintenance and Support: TSeller is solely responsible for providing maintenance and support for the App. Google has no obligation to furnish any maintenance or support services.

Refunds and Cancellations: TSeller is solely responsible for any product warranties or subscription services. Any refund or cancellation requests should be made in accordance with these Terms and the Google Play Store policies.

Product Claims: TSeller, not Google, is responsible for addressing any claims relating to the App or your use of it, including product liability claims, regulatory compliance failures, and consumer protection or privacy legislation claims.

Intellectual Property Rights: In the event of any third-party claim that the App infringes on intellectual property rights, TSeller, not Google, will be solely responsible for investigation, defense, settlement, and discharge of such claims.

Third Party Beneficiary: You acknowledge and agree that Google and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Google will have the right to enforce these Terms against you.
